1. About This Service
Orion Orbit Optima ("Orbit", "we") provides two services: Orbit Agents, a custom AI agent design and development service for businesses (B2B), and Orbit Pilot, a subscription AI co-pilot for individuals. By using our services — ordering a sprint, creating an account, or making a payment — you agree to these Terms & Conditions.
2. Definitions
- Client — the business ordering an Orbit Agents sprint.
- User — the individual subscribing to Orbit Pilot.
- Credit — the unit of work value for Orbit Agents; 1 credit ≈ US$120, used to size each sprint's scope.
- Sprint — the delivery period for one agent or a package of agents, through to handover.
- Deliverable — the agreed output of a sprint (a live agent, documentation, source code).
3. Scope & Way of Working
Every Orbit Agents sprint starts with a discovery call to agree on scope, credits, and timeline (typically 1–4 weeks). Agreed scope is confirmed in writing (email/proposal) before the sprint begins. Orbit Pilot runs as a monthly subscription with daily usage allowances by plan (Free or Member).
4. Pricing, Credits & Payment
Orbit Agents pricing is denominated in credits and converted to your currency at the working rate agreed at proposal time. Sprint payments are typically staged: a deposit before work starts, and final payment at handover. Paid credits remain the Client's property and can be applied to a future sprint if not fully used. Orbit Pilot Member is billed monthly in advance; Orbit Boost (extra usage) is billed on actual consumption.
5. Scope Changes (Change Requests)
Minor revisions within the original scope are delivered at no extra cost. Requests that materially change scope (new features, additional integrations) are re-estimated in additional credits and agreed before work proceeds.
6. Intellectual Property
All source code built for the Client becomes the Client's full property (perpetual license) once the sprint is paid in full. Orbit retains the right to reuse general knowledge, non-specific components, and working experience (not the Client's confidential data or code) on other projects. Orbit Pilot's content, brand, and platform remain Orbit's property.
7. Confidentiality
We treat the Client's business data, system credentials, and operational information as confidential, using them only for the purposes of the sprint. A separate NDA can be signed on request.
8. Cancellation & Refunds

9. Limitation of Liability
Orbit works to ensure every agent performs to the agreed specification, but does not guarantee specific business outcomes (e.g. a sales increase), as these depend on many factors outside our control. Orbit's liability for losses arising from use of the service is capped at the amount the Client/User has paid for the service in question.
10. Force Majeure
Orbit is not liable for delays or failures caused by events reasonably outside our control, including outages of third-party providers (e.g. the WhatsApp Business API, AI model providers, hosting), disasters, or government policy.
11. Governing Law
These Terms & Conditions are governed by the laws of the Republic of Indonesia. Disputes that cannot be resolved amicably will be settled within the legal jurisdiction of South Jakarta.
12. Changes to These Terms
We may update this page from time to time. The date of the last update always appears at the top of the page. Material changes will be communicated to active Clients/Users by email.
